Sell-side mandates

Preparation, buyer approach and negotiation for a controlled sale process.

A sell-side mandate begins long before the first buyer is contacted. We review the numbers a buyer will see, correct what can still be corrected, and set out a defensible valuation range with the owner before the market is approached.

The process is then run to a fixed timetable: a shortlist of strategic and financial buyers, controlled information release, indicative offers, due diligence in a managed data room, and negotiation through to signing and closing.

Scope of the mandate

Financial and commercial preparation
Valuation range and price expectation
Buyer shortlist and confidential approach
Data room, due diligence and closing
Typical situation
An owner wants to sell a majority stake but has never run a process and cannot let staff, customers or competitors learn of it before the deal is agreed.
